Terms of service

These terms apply when you use this website or engage Innovex Agency ("we", "us") for services. By using the site or our services, you agree to them.

1. The service

Innovex Agency is a managed brokerage that connects eligible Stripe account holders ("Partners") with e-commerce businesses ("Merchants"). We handle technical integration, risk management and revenue-share payouts.

2. Eligibility

To become a Partner, you must:

• Be at least 18 years of age
• Be the legal owner or authorised representative of a business or sole proprietorship
• Hold an active, verified Stripe account in good standing
• Pass Innovex Agency's compliance and KYC checks

3. Account management and access

Partners grant Innovex Agency "Team Member" access to their Stripe account. Partners keep full ownership of their account at all times. You must never share your root administrator password with us or anyone else.

4. Revenue share and payouts

Partners earn a 10% share of qualifying volume processed through their account. Payouts are made weekly to the Partner's bank account. We reserve the right to temporarily withhold payouts if we suspect fraudulent activity, pending investigation.

5. Prohibited activities

Partners may not:

• Connect Merchants to previously banned, restricted or high-risk Stripe accounts
• Falsify any documents or information provided to us
• Bypass the Innovex Agency platform to deal directly with Merchants
• Solicit Merchants found through our service for independent arrangements

6. Your responsibilities

• Provide information and documents that are complete, accurate and yours to share
• Review and approve anything we prepare before it is submitted on your behalf
• Follow the terms of the payment providers you use

We may end the arrangement if we believe information is false or that the services are being used to break the law or a provider's rules.

7. Limitation of liability

To the extent the law allows, Innovex Agency is not liable for indirect or consequential damages, including lost profits, loss of data or loss of Stripe processing privileges. Processing through any payment provider carries inherent risks, including chargebacks and account restrictions. Our total liability for any claim is limited to the revenue share paid to you in the 3 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

8. Confidentiality

We keep your business information confidential and use it only to deliver our services, except where the law requires disclosure. Our privacy policy explains how we handle personal data.

9. Ending the arrangement

Either side can end the arrangement by written notice. Any outstanding revenue share earned up to that date will be paid out. Sections on confidentiality, liability and governing law continue after the arrangement ends.

10. Website content

Content on this site is general information, not legal, financial or tax advice. Provider names are trademarks of their owners and don't imply any partnership or endorsement.

11. Governing law

These terms are governed by the laws of the United Arab Emirates, and the courts of Dubai have exclusive jurisdiction over any dispute.

12. Changes and contact

We may update these terms. The version that applies is the one in effect when you accepted the arrangement. We will notify active Partners of significant changes by email.
